Cover Page

Framework Terms. This Order Form incorporates and is governed by the Framework Terms, which consist of the Key Terms below and the Common Paper Cloud Service Agreement Standard Terms, Version 2.1, which are incorporated by reference. Capitalized words have the meanings given in this Cover Page or the Standard Terms.

Order Form

Cloud Service

The Click website and hosted platform for creating, running, and managing agents (collectively, the “Cloud Service”).

Order Date

The Effective Date.

Subscription Period

For a paid plan, the subscription period agreed in writing between Click and Customer. Free access continues until ended by Customer or Click.

Cloud Service Fees

Customer will pay the Fees agreed in writing between Click and Customer. Click may update pricing by giving at least 30 days' notice, including by email or notice within the Product, and the change will apply in the next Subscription Period.

Payment Process

Customer will pay the Fees using the payment method and schedule agreed in writing between Click and Customer. If automatic payment is agreed, Customer authorizes Click and its payment processor to charge the payment method on file according to that schedule.

Non-Renewal Notice Period

Customer may prevent renewal by notifying Click before the end of the current Subscription Period.

Use Limitations

Use is subject to fair-use limits determined by Click in its sole discretion. Click may impose usage limits, throttle usage, or suspend access to address excessive resource consumption, abuse, or interference with the Service or other customers.

Key Terms

Customer

The company or person accessing or using the Product. If a person uses the Product on behalf of a company, Customer means that company.

Provider

Click AI Labs, Inc.

Effective Date

The date Customer first signs up for, accesses, or uses the Product.

Governing Law

The laws of the State of Delaware.

Chosen Courts

The state and federal courts located in New Castle County, Delaware.

Provider Covered Claims

Any action, proceeding, or claim that the Cloud Service, when used by Customer according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon a third party's intellectual property or other proprietary rights.

Customer Covered Claims

Any action, proceeding, or claim (1) that the Customer Content, when used according to the terms of the Agreement, violates, misappropriates, or otherwise infringes upon a third party's intellectual property or other proprietary rights; or (2) arising from or relating to Customer's breach or alleged breach of Section 2.1 (Restrictions on Customer) of the Standard Terms.

General Cap Amount

1x the fees paid or payable by Customer to Click in the 12-month period immediately before the claim.
